Companies House Changes · 2026

When the company changes, the public record needs to catch up.

Britvex helps UK limited companies organise and file changes involving directors, company secretaries, people with significant control, registered-office details, company names, share structures, accounting reference dates and other Companies House records.

Directors & secretaries PSC changes Registered office Shares & resolutions
Within 14 days Directors & secretaries Appointments, cessations and relevant detail changes.
Within 15 days Articles / constitution Relevant constitutional changes need prompt filing.
Within 1 month New share issues New allotments generally need to be reported within one month.
Other changes Check the exact timetable Some other Companies House changes have a 21-day reporting period.
What can change

Company changes are event-driven compliance.

The right filing depends on what changed, when it changed and whether the company needed board or shareholder approval first. Britvex can help identify the route and keep the Companies House record aligned with the underlying company decision.

People

Directors & company secretaries

Appointments, resignations, changes to service details and other reportable director or secretary information.

Ownership & control

People with Significant Control

Changes to PSC status or relevant PSC information should be reflected promptly on the Companies House record.

Address

Registered office

Move the registered office through the correct Companies House process and keep connected statutory records consistent.

Identity

Company name

A company-name change may require shareholder approval and does not take effect until Companies House registers it.

Capital

New shares & share structure

New allotments and other share-capital changes can create Companies House filings, resolutions and company-record updates.

Accounting

Accounting reference date

Change the company’s accounting reference date where permitted and check the effect on the next statutory filing cycle.

Governance

Articles & constitution

Changes to the articles or constitution may require shareholder approval and a copy of the updated document to be filed.

Finance

Charges & secured borrowing

New company charges and releases can require Companies House registration and should be coordinated with the underlying finance documents.

Common statutory timings Do not assume every company change uses the same deadline.
Directors Report appointments, cessations and relevant personal-detail changes within 14 days.
Company secretaries Appointment or termination changes are generally reported within 14 days.
PSC information Relevant PSC changes have a 14-day reporting timetable under the current Companies House framework.
Record location Changes to where statutory records are kept, and which records are kept there, are generally reportable within 14 days.
Articles / constitution Relevant constitutional changes are generally reported within 15 days.
New share issue A new allotment of shares is generally reported within one month.
Other changes Some other reportable changes use a 21-day timetable. The exact filing route should be checked for the specific event.
Timing matters

Start from the date the change happened.

The internal decision date, appointment date, share-allotment date or other effective date can determine the Companies House deadline. Waiting for the next confirmation statement can therefore be the wrong approach.

Britvex can help identify which change is reportable now, what supporting approval is needed and whether connected accounting, payroll, tax or company records also need to be updated.

The exact filing requirement depends on the change. This page is a practical overview, not a substitute for checking the current Companies House process for the company’s facts.
2026 identity-verification layer

Director and PSC changes now sit inside the Companies House identity-verification regime.

Companies House personal codes are now part of the filing environment for directors and people with significant control. That means some company changes need the person’s identity-verification position checked before the filing is treated as a simple administrative update.

Before filing

Check who has authority to make the change.

Board actionConfirm whether the directors can approve the change under the company’s articles and existing authorities.
Shareholder voteSome decisions require an ordinary or special resolution before the Companies House filing can follow.
Supporting recordsMinutes, resolutions, updated registers and revised constitutional documents may need to be retained or filed.
Effective dateFor some changes, including a company-name change, the Companies House registration determines when the change becomes effective.
Britvex company-change process

Change → authority → filing → alignment.

The aim is not just to submit a form. It is to make sure the decision, statutory record, Companies House filing and connected finance records all describe the same company.

01 Identify

Tell us what changed

Provide the company name, the change, the effective date and any supporting decision or document already made.

02 Check

Confirm authority and deadline

We identify the filing route, approval requirement, supporting records and Companies House timetable.

03 File

Update Companies House

The relevant filing is prepared and submitted through the applicable Companies House process.

04 Align

Update connected records

Where relevant, company registers, accounting, payroll, tax, bank or internal records should be brought into line.

Company Changes vs Confirmation Statement

Do not wait for the annual confirmation statement to report most changes.

A confirmation statement is primarily the annual review of the company record. It can be used to update a limited set of information, but many event-driven changes must be reported separately when they happen.

Director and company-secretary changes are reported separately.
Registered-office changes are reported separately.
PSC changes are reported through the relevant PSC process.
Company-name, articles and many share changes use their own filing routes.
Connected company services

A company change often affects more than Companies House.

A director appointment can affect payroll and banking. A new share issue can affect ownership records. A changed accounting date can affect accounts and Corporation Tax planning. A new registered office can affect statutory mail and company records.

Britvex framework

Company-record support connected to the wider accounting relationship.

Britvex can connect company administration with accounting, tax and client records so that Companies House changes do not sit in isolation from the rest of the business.

Company Changes FAQs

Common Companies House change questions.

These answers are general guidance. The correct filing depends on the specific company change and its effective date.

How quickly do I need to report a director change?

Companies House guidance says director appointments, cessations and relevant changes to directors’ personal details must generally be reported within 14 days.

How quickly do I need to report a PSC change?

Relevant changes to people with significant control and their reportable details generally need to be reported within 14 days under the current Companies House framework.

Can I wait until the confirmation statement to update a director or registered office?

No. Most event-driven changes have their own Companies House filing route and timetable. The confirmation statement only updates a limited set of information.

How long do I have to report new shares?

A new allotment of shares is generally reportable to Companies House within one month. Other share-capital changes can have different filing requirements.

Does a company-name change take effect as soon as shareholders approve it?

No. Where a company name is changed through the applicable process, the new name does not take effect until Companies House registers it.

Do new directors need identity verification in 2026?

Yes. Directors appointed from 18 November 2025 onwards need to provide their Companies House personal code as part of the appointment filing. Existing directors provide their code through the company’s next confirmation statement.

Can Britvex help if several company details changed at the same time?

Yes. Multiple changes can be reviewed together so the filing sequence, approvals, company registers and connected accounting or tax records remain consistent.
