Confirm the company record — not just another annual form.
Britvex helps UK limited companies review the Companies House record, identify changes that need separate filing, prepare the annual confirmation statement and keep director identity-verification requirements connected to the filing process.
Every company files — even if nothing changed.
Active, dormant and non-trading companies must review the information held by Companies House and file at least one confirmation statement in every 12-month review period.
At least once every 12 months
The review period normally runs for 12 months from incorporation or the previous confirmation statement date.
Up to 14 days after the review period ends
The statement can also be filed early, but filing early starts a new review period from the following day.
£50 online
The current online fee is £50 for the first confirmation statement in the 12-month payment period. Paper filing is £110.
You still need to file
A confirmation statement is required even where the company information has remained unchanged during the review period.
A confirmation statement should describe the company that exists now.
The Companies House register is public. Before confirming it, Britvex reviews the information that should be current and identifies whether anything needs correcting through another filing route.
Check → Correct → Verify → File.
The objective is not to submit the statement as quickly as possible. It is to make sure the company record is ready to be confirmed.
Review the current Companies House record.
Compare directors, PSCs, addresses, SIC information, capital and shareholders with the current company position.
Separate changes that need another filing.
Use the correct Companies House process for changes that cannot be made through the confirmation statement itself.
Confirm director identity requirements are ready.
Obtain the Companies House personal code for each director where the current filing requires it.
Submit the confirmation statement.
Confirm the company information, registered email where required and the lawful-purpose statement.
Some information can be changed during filing. Other changes must be made separately.
Companies House allows a limited set of company information to be updated through the confirmation statement process.
Each current director must be ready before the statement can be accepted.
Filing early can move the next review date without moving the payment period.
Companies House treats the review period and payment period separately. This matters where a company files more than one confirmation statement in a year or deliberately files early after a significant company change.
Britvex can help keep the actual next filing date visible rather than assuming the original anniversary will always remain the same.
The confirmation statement now includes more than a factual register check.
When a company makes a confirmation statement, it must also confirm that the company’s intended future activities are lawful. This requirement has applied to confirmation statements since March 2024.
The statement should therefore be filed by someone authorised to make the filing on behalf of the company and able to make the required confirmation.
The difficult part is usually the company record behind the form.
Straightforward statements can be simple. The risk appears when the public record, identity-verification position or ownership information has not kept pace with the company.
Public-record check
Compare the current Companies House information with what the directors say the company looks like today.
Identify separate filings first
Route director, PSC, address or other changes through the correct process before confirming the record.
Prepare for director personal codes
Make sure the filing is not held up because the required directors have not completed identity verification.
Connect to the wider company cycle
Keep the statement alongside registered office, annual accounts, Corporation Tax and other recurring company obligations.
The confirmation statement is one checkpoint inside a much larger compliance system.
Britvex connects the annual company-register review to the changes, addresses, accounts and tax work that sit around it.
Company filings should stay connected to the documents behind them.
Britvex connects onboarding, company documents, accounting and client communication through a UK practice and secure client portal.
Before you confirm the register.
These are general Companies House rules. The filing should still be reviewed against the specific company’s record and current circumstances.
How often do I need to file a confirmation statement?
Every company must review its information and file at least one confirmation statement in each 12-month review period. The filing can be made up to 14 days after that review period ends.
Do dormant or non-trading companies still file?
Yes. Companies House requires every company, including dormant and non-trading companies, to file a confirmation statement.
What is the Companies House fee in 2026?
The current fee is £50 for an online confirmation statement and £110 for a paper filing. The annual fee is generally paid with the first statement in the company’s 12-month payment period.
Can I use the confirmation statement to change my registered office or directors?
No. Those changes use separate Companies House processes. The confirmation statement can update specified information such as SIC code, statement of capital, trading status of shares and shareholder information.
Do directors need Companies House personal codes?
Under the current identity-verification regime, current directors need to provide their personal codes in connection with the company’s next confirmation statement where required. Companies House says the statement cannot be accepted until the required directors are verified.
What is the lawful-purpose statement?
The company must confirm, when making its confirmation statement, that its intended future activities are lawful. This statutory requirement has applied since March 2024.
What happens if I do not file?
Companies House states that failure to file can lead to a financial penalty of up to £5,000 and the company may be struck off the register.
